WORKING DRAFT · NOT FOR PUBLICATION

Last updated: [insert publication date]

01 / Who We Are

EDITION & CO. is operated by PALERMO AGENCY, Tina Arsenovič s.p., Kerenčičeva 5, 2000 Maribor, Slovenia. Tax identification number: SI59258454. Website: editionandco.com. Customer support email: [insert verified address]. These Terms of Sale are a working draft and must be completed and legally reviewed before checkout is enabled.

02 / Scope of These Terms

These Terms of Sale are intended to apply to purchases made through EDITION & CO., including digital educational products, access to online tools, subscriptions and any other services specifically offered for sale. The description and terms shown for each product at checkout form part of the purchase information. Separate terms may apply to custom professional services or business-to-business agreements.

03 / Customers and Eligibility

Before purchase, we will identify whether the buyer is acting as a consumer or in a business or professional capacity. Users under 18 may require permission or participation of a parent or legal guardian to enter into a paid contract. Appropriate age and authority checks must be implemented before checkout is launched. The platform must not assume that a user’s ability to register automatically gives them capacity to purchase.

04 / Product Information and Availability

Each product or subscription page will state what is included, whether the offering is a one-time purchase or recurring service, any access duration, material technical requirements, delivery arrangements and relevant limitations. Products or features not yet available must not be represented as ready for immediate delivery. The final product catalogue and delivery conditions must be confirmed before publication.

05 / Prices, Taxes and Currency

The total price, applicable taxes and any mandatory additional charges will be displayed before the order is placed. Currency, VAT treatment, customer location rules and invoicing details will be confirmed in the checkout configuration. We will not add undisclosed mandatory charges after the order is placed. Whether tax identification number SI59258454 is also a VAT identification number must be verified before it is labelled as such.

06 / Ordering and Contract Formation

The checkout process will allow customers to review and correct their order before placing it. The final purchase button must clearly indicate an obligation to pay. The moment of contract formation, order confirmation and any acceptance conditions must match the actual WooCommerce and payment workflow and be stated here before launch.

07 / Payment Methods and Security

Available payment methods and payment processors will be identified at checkout. Payment details may be processed by a third-party provider rather than stored by EDITION & CO.; the actual arrangements must be verified. We will issue any order confirmations and payment documents required by applicable law.

08 / Digital Delivery and Access

For digital products, we will describe how and when access is provided, whether content is available in a browser or as a download, and whether access depends on an active account or subscription. Compatibility, functionality and any relevant digital restrictions will be communicated before purchase. Technical support and access-restoration procedures must be tested before launch.

09 / Subscriptions and Renewals

If subscriptions are offered, their billing interval, price, renewal method, minimum commitment (if any), cancellation process and effects of cancellation will be disclosed clearly before purchase. We will not assume a subscription renews automatically unless that is how the service is actually configured and expressly communicated. Any required notices about price or contract changes will be provided.

10 / Right of Withdrawal for Consumers

Consumers may have a statutory 14-day right of withdrawal for distance contracts, subject to applicable rules and exceptions. For digital content not supplied on a tangible medium, loss of the withdrawal right can depend on prior express consent to immediate performance and acknowledgement of that consequence, together with other legal requirements. For services begun during the withdrawal period, different conditions may apply. Checkout wording, consent records, confirmation emails and refund handling must be designed for the actual product types and legally reviewed. Do not assume all digital sales are automatically non-refundable.

11 / Cancellations and Refunds

Instructions for exercising applicable withdrawal rights, cancellation of subscriptions, and requesting refunds will be provided before checkout. Statutory remedies for non-conforming digital content or services remain available. Any voluntary refund policy must be clearly stated and cannot reduce mandatory consumer rights. A verified support contact and operational refund procedure are required before publication.

12 / Conformity, Updates and Technical Issues

Where required by consumer law, digital content and digital services must conform to the contract, including relevant functionality, compatibility, security and updates. Customers will be informed of material technical requirements and available remedies. Procedures for reporting problems, providing required updates and resolving access issues must be implemented.

13 / Accounts, Licences and Permitted Use

A purchase may grant a limited right to access or use specified materials for the purpose stated in the product description. Unless expressly stated otherwise, purchasing access does not transfer copyright or grant permission to redistribute, resell or publicly share protected materials. Any restrictions on accounts, devices, templates or commercial use must be made clear before purchase and must respect applicable law.

14 / Professional and Custom Services

If editorial, design, marketing or other bespoke services are sold, the parties may need a separate written scope of work covering deliverables, timing, revision rounds, approvals, intellectual-property permissions, fees and termination. The availability and exact terms of such services must be confirmed before accepting payment.

15 / Complaints and Customer Support

Customers may contact us about orders, access issues, complaints or statutory rights using the verified support details shown on the website and order confirmation. We will explain any applicable complaint and dispute-resolution procedures in accordance with current legal requirements. Do not publish a non-functional email address.

16 / Applicable Law and Mandatory Rights

These Terms are intended to be interpreted under applicable Slovenian law, while preserving mandatory consumer protections that may apply to customers in other countries. Nothing in these Terms removes rights that cannot lawfully be excluded. Cross-border consumer-law and dispute-resolution wording must be checked before international sales begin.

17 / Changes to These Terms

The effective date will be shown when these Terms are finalised. Updated terms may apply to future orders; changes affecting existing contracts or subscriptions will be handled in accordance with the contract and applicable law. Material changes will be communicated where legally required.
